Daniel Cohen helps leading businesses with sophisticated corporate and transactional needs, including mergers and acquisitions throughout the U.S. in the increasingly competitive transit operator sector. Daniel has experience in M&A transactions with the energy service industry, as well as with water and wastewater utilities, construction and property management companies, medical device companies, distributors, and sales representatives, manufacturers and companies in the live entertainment and restaurant industries. In addition, Daniel has:

  • Handled numerous joint venture, equity and debt financing;
  • Worked on international and domestic transactions, including borrower-side finance;
  • Represented management groups seeking private equity funding;
  • Frequently advised clients on Hart-Scott-Rodino filings, and;
  • Advised clients in the purchase and sale of distressed assets and businesses.

For over 15 years, he has represented a U.S. subsidiary of a public U.K. company in various matters. This representation has included the acquisitions and disposition of more than 20 school bus operators and transit companies, including complex cross-border acquisitions in Canada. He has also represented a private equity portfolio company in the acquisition of numerous water and wastewater utilities from private and governmental owners.

Daniel’s experience in the energy sector includes representing oil and gas companies in purchase and sale transactions, representing a private equity portfolio company in the acquisition of various wire-line companies and the subsequent sale of the portfolio company to a publicly traded company, and numerous M&A transactions involving energy services companies, including the owner of a threading and grooving tool manufacturing company in the sale of a controlling interest to a multinational conglomerate. He has represented the controlling owner of an engineering and product service company in the sale to a private equity investor and represented a private investor in the purchase of an oil tool company.

Several of Daniel's clients have relied on him for decades. For example, in addition to his transit clients, he has served as outside counsel for a family-owned restaurant chain and a family-owned grocery chain for more than 20 years. You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
