Jennifer Smith's practice focuses on corporate and securities law within the energy industry. Her experience includes mergers and acquisitions, stock and asset acquisitions and divestitures, formation of joint ventures, and reorganizations of upstream and midstream companies. Her clients include major domestic and international energy companies, exploration and production companies, renewable energy companies, private equity funds and utilities. Principally, Ms. Smith provides support for other Gardere attorneys in complex multimillion and multibillion dollar oil and gas transactions.

  • Divestiture of over $3 billion in oil and gas properties and related assets in the Permian Basin.
  • Acquisition and joint development transactions in shale play in excess of $1.5 billion.
  • Disposition of Gulf of Mexico oil and gas properties and related assets in excess of $5.5 billion.
  • Sale of oil and gas properties in Louisiana in excess of $100 million.
• National oilfield services company in handling master service agreements for pipeline inspection services, oilfield services and training services.
• National midstream company in its organizational restructure including a complex merger, exchange of interests and formation of subsidiaries.
• Houston exploration and production pipe manufacturing company in its sale to a private company.
• Foreign investment entity in its U.S. energy investment ventures and reorganization.
• Private equity-backed midstream company in its bid for plants and pipelines in Texas and Louisiana.
• Midstream company in its preparation of an EPC contract for expansion of a plant.
