Practice Emphasis

Eunice Song's experience involves a broad corporate and securities practice with an energy industry focus. Her energy practice includes numerous mergers and acquisitions, stock and asset acquisitions and divestitures, and private equity-related transactions involving largely upstream and midstream clients, ranging from multinational energy companies and private equity funds to sole proprietors. Ms. Song has provided support to other Gardere attorneys in large and complex deals, including numerous multibillion dollar transactions.

In addition to her energy background, Ms. Song has developed a general corporate M&A, corporate governance and securities practice dealing with a wide range of clients, including consulting, manufacturing, transportation, services and entertainment.

    • Acquisition, divestiture and exchange of exploration and production properties and pipeline in the United States, Gulf of Mexico and Pakistan.

    • Lease exchange transaction of Gulf of Mexico oil and gas interests.
    • Disposition of offshore oil and gas properties and related assets.
    • Disposition of oil and gas properties in the Green River Basin.
  • A public U.K.-based student transportation company with numerous transit and student transportation acquisitions.
  • A Houston manufacturing company in its sale to an Atlanta private equity firm.
  • A U.K. energy company in its acquisition of a Houston seismic imaging company.
  • A Houston private equity firm in the sale of an electric power generation facility in Texas.
  • A Houston drilling fabrication company in its sale to a manufacturing company.
  • Electric cooperative in the following:
    • Acquisition of interest in approximately 900-megawatt greenfield, pulverized coal-fired power plant.
    • Bid for gas-fired power plant.
  • A Houston machining company in its sale to a Chicago private equity firm.
  • A Colorado midstream company in negotiating construction and operating agreement for midstream assets in the Bakken Shale region.
  • An Alabama steel-recycling company in sale of membership interests to a Mexican corporation.
  • Lessors on lease negotiations for oil and gas properties located in Texas and Pennsylvania.
  • An Indiana tree services company in a share re-purchase transaction.
  • A Houston investor in the acquisition of a landscaping and swimming pool company.
  • A national live events/ticketing company in major corporate restructuring involving parent-subsidiary merger of approximately 150 subsidiaries in 23 states.
  • International IT, business and HR consulting for a public company in a preferred stock offering.
