Felisa Sanchez has a transactional practice involving a wide variety of corporate, finance, and commercial matters for domestic and international clients. Ms. Sanchez represents public and private companies in the maritime, transportation, energy, and energy service industries and well as various financial institutions. Ms. Sanchez’s transactions practice regularly includes the representation of clients in M&A projects, structured finance transactions, and general corporate matters, with a focus on the energy and energy service industries. Her maritime practice involves the representation of clients in domestic and international financings, restructurings of debt involving maritime assets, equipment leasing, and various commercial and operational matters.

• Represented a Norwegian drilling company in the construction and financing of its fleet of drill ships and drilling rigs.
• Provide offshore construction companies operating in the Gulf of Mexico with guidance in connection with the U.S. coastwise trade laws.
• Represented a lender in the restructuring of the cross-collateralized debts of a tug and barge company.
• Represented a U.S. lender in the financing of a dry-dock for use in Veracruz, Mexico.
• Represented a global drilling company in the U.S. government guaranteed financing of a drilling rig.
• Represented a U.S. finance company in a syndicated lease financing of five offshore supply vessels.
• Represented a U.S. finance company as special maritime counsel in the sale of its financial portfolio to another major U.S. finance company.
• Represented energy private equity fund in debt and equity transactions involving energy service businesses.
• Represented a U.S. finance company as special maritime counsel in its securitization of assets.
• Represented a U.S. bank (acting as trustee and collateral administrator) in connection with synthetic securities offerings and restructurings.
• Represented various public and private U.S. companies in the energy services and transportation industries in connection with the formation, contracting, and reporting requirements of their Mexican subsidiaries.
• Represented a U.S. bank (in its role of trustee, securities intermediary and custodian) in connection with mezzanine financing transactions involving Latin American infrastructure projects.
• Represented U.S. banks and companies in connection with secured transactions involving Mexican assets.
• Represented a publicly traded building components company in the restructuring of two Mexican joint ventures.
• Assist a U.S. export insurance company in connection with enforcement of subrogation claims arising from unpaid trade receivables in Mexico.
