Practice Emphasis

Alan Perkins serves as the lead attorney in approximately five mergers and acquisitions annually, with valuations typically ranging from $20 million to $100 million, but including valuations in the hundreds of millions of dollars. In addition to a strong focus on mergers and acquisitions, Mr. Perkins’ practice involves all areas of corporate and securities transactions, including public financings, private equity and venture capital transactions and hedge funds. Mr. Perkins also frequently represents Board of Directors’ Special Committees in various matters and senior executives in connection with employment and severance arrangements.

Mr. Perkins’ legal expertise has been widely touted in numerous publications. He has been recognized annually as one of The Best Lawyers in America by Woodward/White, as a Texas Super Lawyer by Law & Politics Media Inc. (as published in Texas Monthly magazine), and as one of the Best Lawyers in Dallas by D Magazine. Mr. Perkins was also recognized in the 2012 and 2013 editions of Chambers USA: America’s Leading Lawyers for Business.

Mr. Perkins currently represents, among others, Ennis Paint Inc., a world leader in road marking materials manufacturing; Exponent Technologies Inc., a provider of employee benefit outsourcing services; Walls Industries LLC, a work wear clothing manufacturer; TableTop Media LLC, the manufacturer of Ziosk, a pay-at-the-table touchscreen for casual dining restaurants; and Genesis Networks Enterprises LLC, a telecommunications services company.

Examples of Mr. Perkins’ experience in mergers and acquisitions include:

  • Trican Well Service Ltd.: $46 million asset acquisition from Vanguard Stimulation Services LLC
  • Prescott Pailet Benefits L.P.: asset sale to Marsh & McLennan Agency LLC
  • StatLab Medical Products: asset sale to SLMP LLC, an affiliate of Caldera Capital Partners LLC
  • Home Interiors & Gifts Inc., at the time the country’s largest direct sales company: $920 million recapitalization by Hicks, Muse, Tate & Furst Incorporated and related $200 million Rule 144A Senior Subordinated Note offering
  • Carter-Crowley Properties Inc.: $300 million asset sale to Crescent Real Estate Equities Ltd.
  • Lacerte Software Corporation: $400 million asset sale to Intuit Inc.
  • Intuit Inc.: $92 million merger acquisition and a $63 million asset acquisition
  • Stockholders of Minyard Food Stores Inc.: sale of stock

Mr. Perkins represented VLPS Lighting Services International Inc., a world leader in lighting products for the entertainment industry, for more than 16 years. He handled VLPS' $24 million initial public offering, its "going private" transaction and its $68 million merger with Production Resource Group LLC.

  • DF&R Restaurants Inc.: $32 million initial public offering, $27 million secondary offering and $228 million stock merger with Apple South Inc.
  • Texas Bottling Group Inc.: $125 million offering of subordinated notes
  • The Coca-Cola Bottling Group (Southwest) Inc.: $140 million offering of subordinated notes
  • VLPS Lighting Services International Inc.: $24 million initial public offering
